Terms of Service
These Terms apply to use of the Zaxxiss website, consultation and scheduling features, client account tools, billing features, subscriptions, and related software services.

Overview
Welcome to Zaxxiss. By accessing this website, submitting a consultation request, using client account tools, paying an invoice, maintaining a subscription, or using related services, you agree to these Terms. If you are using the website or services for a company, you represent that you have authority to act for that company.
Use Of The Website
You may use this website to learn about Zaxxiss, request a consultation, schedule a phone consultation, access client account features when available, and review information about our services. You agree not to misuse the website, interfere with its operation, attempt unauthorized access, submit false or harmful information, or use the website in a way that violates applicable law.
Submitting a consultation request does not create a client relationship, require Zaxxiss to accept a project, or guarantee availability, pricing, delivery timelines, or specific results.
Client Agreements And Project Scope
Custom software, mobile app, web application, hosting, maintenance, subscription, and related work may require a separate written agreement, statement of work, proposal, order form, or contract signed or accepted by the client and Zaxxiss. Those project documents define the specific scope, deliverables, payment terms, timeline, responsibilities, and acceptance process for the work.
If a separate signed agreement conflicts with these website Terms, the signed agreement controls for that project or service. These Terms continue to apply to general website use and to any matters not addressed by the separate agreement.
Work outside the agreed scope may require a written change order, revised estimate, additional payment, or separate approval before Zaxxiss begins that additional work. This includes new features, design changes, integrations, platform changes, content changes, priority shifts, rework caused by changed requirements, or other requests that materially expand the original scope.
Client Responsibilities
Clients are responsible for providing timely feedback, approvals, content, credentials, business rules, data, third-party access, and other materials reasonably needed for Zaxxiss to perform the requested work. Delays caused by missing information, late approvals, changing requirements, or client inaction may affect timelines, costs, launch dates, or service availability.
Clients are responsible for confirming that materials they provide to Zaxxiss, including text, images, logos, brand assets, data, and third-party content, may be used for the project and do not infringe the rights of others.
Billing, Subscriptions, And Auto-Pay
Client account tools may allow clients to view subscriptions (hosting, email-related services, etc.), view or print invoices, pay current invoices, and update payment methods. Subscription services may require an active payment method and auto-pay authorization unless a separate written agreement says otherwise.
By enabling auto-pay or saving a payment method for subscription services, you authorize Zaxxiss and its payment processor to charge the selected payment method for recurring subscription fees, usage-based fees if applicable, taxes, and other amounts due under the applicable service terms or client agreement.
Clients are responsible for keeping billing information and payment methods current. Failed payments, expired payment methods, chargebacks, or unpaid invoices may result in late fees, suspension, interruption, or termination of services, subject to any separate agreement and applicable law.
Cancellations And Refunds
Project cancellations, deposits, milestone payments, refunds, and earned fees are governed by the applicable signed agreement, proposal, statement of work, or invoice terms. Unless a written agreement says otherwise, amounts paid for work already performed, reserved time, completed milestones, third-party costs, transaction fees, and non-recoverable expenses are not refundable.
Subscription or recurring services may be cancelled according to the applicable service terms or client agreement. Unless a written agreement says otherwise, partial billing periods, setup fees, domain fees, hosting fees, email service fees, third-party platform fees, and other consumed or committed services are not refundable.
Zaxxiss is not responsible for delays, added costs, or missed launch dates caused by client inaction, late feedback, missing materials, changed requirements, third-party service outages, platform review delays, domain or DNS issues, payment failures, or circumstances outside our reasonable control.
Intellectual Property
The website, branding, text, images, layouts, design elements, code samples, and other content made available by Zaxxiss are owned by Zaxxiss or its licensors and are protected by intellectual property laws. You may not copy, reproduce, sell, or reuse website content except as allowed by law or with written permission.
Project ownership, license rights, source code access, third-party components, open-source software, client materials, and transfer of deliverables are governed by the applicable signed agreement or project terms. Third-party software, libraries, platforms, hosting providers, app stores, APIs, fonts, and services may remain subject to their own licenses and terms.
Third-Party Services
Zaxxiss projects and client services may rely on third-party platforms, APIs, payment processors, hosting providers, email providers, app stores, domain registrars, analytics or diagnostics tools, cloud services, and other vendors. Third-party services are governed by their own terms, privacy policies, uptime commitments, pricing, and technical limits.
Zaxxiss is not responsible for third-party outages, policy changes, account restrictions, API changes, pricing changes, rejected app submissions, payment processor decisions, domain issues, or other actions by third parties outside our reasonable control.
Acceptable Use
You may not use the website, client portal, services, deliverables, hosting, or related systems to submit malicious code, attempt unauthorized access, overload systems, violate security controls, infringe intellectual property rights, transmit unlawful content, harass others, commit fraud, process illegal transactions, or violate applicable laws or third-party terms.
Zaxxiss may restrict, suspend, or terminate access to website features, client account tools, or services if we reasonably believe use is abusive, unlawful, insecure, unpaid, or harmful to Zaxxiss, clients, users, service providers, or the public.

To the fullest extent permitted by law, Zaxxiss will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, business interruption, reputational harm, or loss of goodwill arising from website use, client services, third-party services, or project work.
Where liability cannot be excluded, Zaxxiss liability will be limited to the amount paid to Zaxxiss for the specific service giving rise to the claim during the three months before the event giving rise to liability, unless a separate signed agreement states a different limit.
Privacy
Use of the website, consultation forms, scheduling flow, client account tools, billing features, and payment-related services is also governed by the Zaxxiss Privacy Policy. The Privacy Policy explains how information is collected, used, retained, and shared with service providers.
Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any dispute arising from these Terms, the website, or services that is not governed by a separate signed agreement will be handled in the state or federal courts located in Arizona, unless applicable law requires otherwise.
Changes To These Terms
We may update these Terms as the website, client account features, billing tools, services, providers, or legal requirements change. Updates will be posted on this page with a revised effective date. Continued use of the website or services after updates means you accept the revised Terms.
